AI for Business Acquisition Teams
Build a traceable diligence question register and post-close operating handoff from a controlled deal room.

Where the operating value comes from
A deal team can read a large volume of documents without resolving the questions that matter to the investment decision. An AI-assisted process should make contradictions and missing evidence easier to assign, verify, and close.
First deliverable: An evidence-linked diligence issue register with a post-close handoff.
The source material to prepare
An authorized deal-room index, dated seller responses, financial records selected by the finance lead, operating procedures, and the buyer’s diligence scope.
Choose a source owner and establish which record wins when versions disagree. Use approved sample records before connecting live systems. The purpose of the pilot is to see whether the team can accept the output with less total effort.
Three distinct workflows
| Workflow | AI preparation | Human decision | Measure |
|---|---|---|---|
| Diligence issue register | Match open questions to evidence, seller responses, and conflicting documents. | Diligence lead assigns severity and decides when an issue is resolved. | Open issues lacking an owner or evidence reference. |
| Seller knowledge handoff | Organize approved interview notes into operating dependencies and transition questions. | Incoming operating lead verifies the actual process with staff. | Critical processes with an accepted handoff. |
| Post-close dependency map | Connect transition actions to access, staff, supplier, and system prerequisites. | Integration owner approves dates and sequencing. | Blocked actions with an unresolved prerequisite. |
A worked exception
Illustrative case: a seller presentation describes recurring contracts, while the supplied customer schedule includes month-to-month arrangements. The register should quote both sources and ask for reconciliation. It should not independently classify revenue quality or revise the purchase price.
Build the first pilot
- Define diligence workstreams and who can access each deal-room section.
- Create a stable issue ID and require source references for each factual statement.
- Test the workflow on an incomplete response, contradictory figures, a superseded file, and an unanswered question.
- Export accepted unresolved issues into the first operating handoff while preserving their deal context.
Exception handling and boundaries
Valuation, legal interpretation, financing suitability, and investment approval remain with the responsible professionals. Treat seller claims as claims until supported by the required evidence.
What the next operator needs
Retain issue history, source versions, reviewer conclusions, and any conditions that must be met after signing or close. Restrict access as deal participants change.
Measure preparation, review, corrections, and the time to an accepted deliverable. Record unsuccessful attempts as well as successful ones. A draft that shifts work to another team should appear in the pilot’s cost and quality record.
